End User License Agreement

This End User License Agreement (“EULA”) governs your installation, activation, access and use of Software and related Digital Products supplied through the CheatProvider Platform at https://cheatprovider.store.
This EULA is a legally binding agreement between you and BellTower concerning the licensed use of the Software.
By:
- purchasing a Software License;
- redeeming a License Key;
- activating a License;
- downloading or installing the Software;
- accessing a protected Software service;
- using the Software; or
- otherwise accepting this EULA,
you agree to be bound by this EULA.
If you do not agree, you must not install, activate, access or use the Software.
This EULA should be read together with:
- the Terms of Service;
- the Privacy Policy;
- the Refund and Cancellation Policy;
- the Warranty and Product Conformity Policy;
- the Shipping and Returns Policy, where hardware is involved;
- the applicable Product description;
- the relevant order confirmation; and
- any Product-specific instructions or License terms.
Nothing in this EULA excludes mandatory rights that cannot lawfully be excluded.
1. Parties and Roles
1.1 Licensor
The Software is licensed by:

BellTower is referred to in this EULA as “BellTower”, “we”, “us” or the “Licensor”.
1.2 Merchant of Record
Purchases completed through the applicable checkout are sold and transactionally administered by:
OVGC Payment Services FZ-LLC
OVGC acts as the full Merchant of Record and contracting seller for the purchase transaction.
OVGC is responsible for matters including:
- checkout;
- payment processing;
- billing and invoicing;
- transaction taxes;
- financial refunds;
- chargebacks; and
- transaction-related compliance.
1.3 BellTower’s Software Role
BellTower is responsible for matters including:
- granting the Software License;
- Software delivery;
- License Key generation;
- activation and License validation;
- technical documentation;
- Software updates;
- technical support;
- security and anti-abuse controls;
- License suspension and termination; and
- assessment of Software defects or conformity issues.
1.4 Relationship Between the Agreements
The purchase contract administered by OVGC governs the commercial transaction.
This EULA governs the scope and conditions under which BellTower permits you to use the Software.
A refund, cancellation or payment reversal may result in termination of the corresponding Software License.
2. Definitions
For the purposes of this EULA:
- “Account” means the User account associated with the Platform or Product.
- “Authorised Device” means a device that is validly associated with a License under the applicable Product terms.
- “Business Customer” means a person acting mainly for trade, business, resale or professional purposes.
- “Consumer” means a natural person acting mainly outside their trade, business or profession.
- “Digital Product” means Software, digital content, a digital service or another electronically supplied entitlement.
- “Documentation” means Product descriptions, instructions, setup guides, technical requirements, support articles and other materials supplied by BellTower.
- “HWID” means a hardware, device or system identifier used to associate a License with an Authorised Device.
- “License” means the limited permission granted under this EULA to use the Software.
- “License Key” means a code, token, credential, entitlement or other identifier used to activate or access a License.
- “Lifetime License” means a License supplied for the supported commercial lifetime of the relevant Product, subject to this EULA and the Product terms.
- “Platform” means CheatProvider, its website, Account systems, License systems and related services.
- “Product” means Software, a Digital Product, hardware, service or other item offered through the Platform.
- “Software” means the executable software, loader, driver, firmware, configuration utility, module, update, API component, associated digital files and Documentation licensed under this EULA.
- “Subscription” means a License that renews automatically at recurring intervals where expressly identified as such during checkout.
- “Time-Limited License” means a License valid for a defined period.
- “User” means the individual authorised to use the License.
- “You” means the person accepting this EULA or the organisation on whose behalf it is accepted.
3. Ownership
3.1 Licensed, Not Sold
The Software is licensed, not sold.
Your purchase provides a limited right to use the Software under this EULA. It does not transfer ownership of:
- the Software;
- source code;
- object code;
- algorithms;
- designs;
- interfaces;
- Documentation;
- trade secrets;
- trademarks;
- License systems;
- security systems; or
- other intellectual property.
3.2 Intellectual Property Rights
BellTower, its licensors and relevant third parties retain all rights, title and interest in and to the Software, including all:
- copyrights;
- database rights;
- trade-secret rights;
- trademark rights;
- patent rights, where applicable;
- design rights;
- know-how;
- updates;
- modifications;
- derivative works; and
- other intellectual-property rights.
3.3 No Implied Rights
No right is granted except the rights expressly stated in this EULA or required by mandatory law.
3.4 Notices
You must not remove, conceal or alter any:
- copyright notice;
- trademark;
- serial number;
- watermark;
- License identifier;
- authorship notice;
- security label; or
- proprietary notice
contained in or associated with the Software.
4. License Grant
4.1 Limited License
Subject to your continued compliance with this EULA, BellTower grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable License to:
- download the Software where permitted;
- install the Software on an Authorised Device;
- activate it using a valid License Key;
- access the associated Product service; and
- use the Software for its intended purpose during the applicable License period.
4.2 Personal Use
Unless a commercial, reseller, team or multi-user License is expressly provided, the License is granted for the personal use of one User.
4.3 One User
A personal License may not be:
- shared with another person;
- used jointly by multiple persons;
- made available as a communal License;
- used as part of a rental or access service;
- transferred between customers; or
- used to provide a commercial service to third parties.
4.4 Authorised Device Limit
The number of Authorised Devices is determined by the relevant Product description or License tier.
Unless expressly stated otherwise, a License is limited to one User and one Authorised Device at a time.
4.5 No Ownership Transfer
Activation, permanent access or the description of a License as “Lifetime” does not transfer ownership of the Software or intellectual-property rights.
5. License Types
5.1 Time-Limited License
A Time-Limited License is valid for the duration stated on:
- the Product page;
- the order confirmation;
- the License dashboard;
- the activation interface; or
- another applicable Product record.
5.2 Beginning of the License Period
Depending on the Product terms, a License period may begin when:
- payment is confirmed;
- the License Key is issued;
- the Product is made available;
- the License is first activated;
- the License is associated with an Account; or
- another disclosed event occurs.
The applicable starting event should be identified before purchase or in the Product information.
5.3 Expiry
When a Time-Limited License expires:
- the right to use the Software ends;
- the License Key may stop working;
- online services may become inaccessible;
- updates may no longer be supplied; and
- a new License may be required for continued use.
5.4 Lifetime License
A Lifetime License remains valid for the supported commercial lifetime of the specific Product for which it was issued.
“Lifetime” refers to the lifetime of that Product as a commercially supported offering and does not mean:
- the lifetime of the User;
- the lifetime of a device;
- the lifetime of BellTower;
- permanent support for every future operating system;
- permanent compatibility with every third-party platform;
- a promise that external dependencies will remain available forever; or
- an unlimited commercial warranty.
5.5 Product Successors
A Lifetime License does not automatically include:
- a newly developed successor Product;
- a separate major Product generation;
- a new hardware-specific Product;
- a separately branded Product;
- additional premium modules; or
- services outside the original Product scope.
BellTower may voluntarily migrate or upgrade a Lifetime License but is not required to do so unless the purchase contract, Product description or mandatory law requires it.
5.6 Subscription
A License renews automatically only where it was expressly identified as a Subscription before purchase.
A fixed-duration License does not become a recurring Subscription merely because additional License time can be purchased.
6. License Keys
6.1 Confidentiality
A License Key is confidential and must be protected against unauthorised access.
You must not:
- publish a License Key;
- share it with another person;
- send it through public channels;
- upload it to a public repository;
- sell it without authorisation;
- lend or rent it;
- use it for multiple Users; or
- allow another person to activate it.
6.2 Responsibility for Use
You are responsible for activity performed using your License Key where that activity results from your failure to take reasonable security precautions.
6.3 Compromised Keys
If you believe a License Key has been compromised, you must contact BellTower promptly.
BellTower may:
- disable the compromised key;
- investigate activation records;
- issue a replacement where appropriate;
- require Account verification;
- reset associated credentials; or
- refuse replacement where the key was intentionally shared, sold or published.
6.4 Key Delivery
A License Key is considered delivered when it is:
- displayed in the Customer Account;
- sent to the supplied email address;
- made available through an order page;
- provided through an authorised reseller; or
- otherwise made accessible through the agreed delivery method.
7. Accounts and Authentication
7.1 Account Requirement
Some Software may require an Account for:
- License activation;
- downloads;
- updates;
- support;
- security verification;
- License resets;
- Product status information; or
- access to protected content.
7.2 Accurate Information
You must provide accurate information and keep your contact details reasonably current.
7.3 Account Security
You must:
- use a secure password;
- keep authentication information confidential;
- not permit another person to use your Account;
- protect the email account associated with the Platform;
- notify BellTower of suspected compromise; and
- comply with reasonable security-verification requests.
7.4 Account Sharing
Account sharing is prohibited unless a Product expressly supports multiple Users.
7.5 Unauthorised Access
You must not access or attempt to access:
- another User’s Account;
- another User’s License;
- administrative systems;
- private APIs;
- internal support tools;
- License databases;
- unpublished Product files; or
- other restricted systems
without express authorisation.
8. HWID and Device Binding
8.1 Purpose
BellTower may use an HWID or similar device-binding system to:
- associate a License with an Authorised Device;
- prevent License sharing;
- detect duplicate activation;
- protect the Software from unauthorised distribution;
- investigate fraud and abuse;
- administer device resets; and
- maintain License security.
8.2 Information Used
The License system may derive an identifier from technical characteristics of the device.
Further information concerning personal-data processing is provided in the Privacy Policy.
8.3 Device Changes
A material hardware, firmware or operating-system change may cause the License system to recognise the device as different.
This may require:
- automatic reassociation;
- a self-service HWID reset;
- manual support review;
- proof of purchase;
- Account verification; or
- a waiting period intended to prevent sharing and abuse.
8.4 HWID Reset Eligibility
A reset may be available where:
- the User replaced or repaired hardware;
- the operating system was legitimately reinstalled;
- a device failed;
- a false device mismatch occurred;
- an authorised replacement device is being used; or
- another legitimate technical reason exists.
8.5 Reset Restrictions
BellTower may refuse, delay or investigate a reset where:
- resets are requested unusually frequently;
- the License appears to be shared;
- multiple geographic locations or devices are involved;
- Account information is inconsistent;
- fraud or resale is suspected;
- the Product-specific reset limit has been exceeded; or
- the request cannot be reasonably verified.
8.6 No Circumvention
You must not:
- spoof, manipulate or conceal information supplied to BellTower’s License system for the purpose of bypassing License restrictions;
- emulate another Authorised Device;
- clone an activation;
- interfere with HWID validation;
- create or distribute reset bypasses; or
- otherwise defeat device-binding controls.
This does not prohibit legitimate privacy or security measures that do not circumvent the License terms or misrepresent the authorised device.
9. Installation and System Requirements
9.1 Customer Responsibility
You are responsible for ensuring that your environment satisfies the published requirements, including where applicable:
- supported operating system;
- supported hardware;
- required drivers;
- firmware versions;
- internet connection;
- administrator permissions;
- required third-party software;
- security settings;
- available storage;
- compatible peripherals; and
- Product-specific configuration.
9.2 Supported Environments
BellTower is responsible for compatibility representations expressly made in the Product description or Documentation.
Compatibility with an environment not identified as supported is not guaranteed.
9.3 Installation Instructions
You must follow supplied installation, update and safety instructions.
9.4 Backups
Before installation or material system modification, you should make appropriate backups of:
- important files;
- system configurations;
- recovery information;
- encryption keys;
- drivers; and
- other data that may be affected.
9.5 Conflicting Software
The Software may not function correctly where the device contains:
- unsupported security software;
- conflicting drivers;
- modified system components;
- malware;
- virtualised or emulated environments not listed as supported;
- debugging or analysis tools;
- unauthorised modifications; or
- other incompatible software.
Where a conflict exists, BellTower may request reasonable troubleshooting steps.
10. Updates
10.1 Software Updates
BellTower may provide:
- bug fixes;
- security updates;
- compatibility updates;
- feature updates;
- performance improvements;
- driver updates;
- firmware updates;
- configuration changes; and
- other modifications.
10.2 Required Updates
Some updates may be required to:
- maintain Software functionality;
- maintain conformity;
- protect Users and systems;
- maintain compatibility;
- address misuse;
- comply with legal requirements; or
- continue accessing online components.
10.3 Automatic Updates
Where disclosed and technically supported, the Software may automatically:
- check for updates;
- download updates;
- install updates;
- replace obsolete files;
- update configuration data; or
- prevent use of an unsafe or obsolete version.
10.4 Failure to Install
BellTower may not be responsible for a conformity issue caused solely by your failure to install a properly supplied required update where:
- you were informed of the update;
- you were informed of the consequences of failing to install it;
- appropriate instructions were provided;
- the failure was not caused by deficient instructions; and
- the exclusion is permitted by mandatory law.
10.5 Modification of Features
BellTower may modify Software features where reasonably necessary to:
- maintain security;
- respond to technical changes;
- address third-party dependencies;
- improve functionality;
- prevent abuse;
- comply with law;
- remove obsolete components; or
- maintain the Product.
For Consumers, material modifications to continuously supplied Digital Products remain subject to mandatory notice, contractual-validity and termination requirements.
10.6 No Downgrade Guarantee
BellTower is not required to provide access to obsolete or insecure versions unless mandatory law or the purchase contract requires otherwise.
11. Online Services and License Validation
11.1 Online Components
The Software may require access to BellTower systems for:
- activation;
- License validation;
- authentication;
- downloads;
- updates;
- Product status;
- configuration;
- security checks;
- support; or
- other connected functions.
11.2 Periodic Validation
The Software may periodically verify:
- License validity;
- License duration;
- Account status;
- Authorised Device association;
- Product version;
- integrity of Software components;
- payment or refund status; and
- compliance with this EULA.
11.3 Internet Availability
You are responsible for obtaining a suitable internet connection where one is required.
11.4 Temporary Unavailability
Online services may be temporarily unavailable because of:
- maintenance;
- updates;
- security incidents;
- hosting disruption;
- network failure;
- third-party service failure;
- force-majeure events; or
- other technical circumstances.
Temporary interruption does not automatically constitute permanent non-conformity or entitle you to a full refund.
Substantial or repeated interruption remains subject to the Warranty and Product Conformity Policy and mandatory law.
12. Product Status, Maintenance and Testing
12.1 Status Information
BellTower may publish status labels, notices or announcements concerning Software availability, maintenance, testing, updating or compatibility.
12.2 Temporary Suspension of Use
BellTower may recommend or require temporary non-use where necessary to:
- investigate a defect;
- perform maintenance;
- deliver an update;
- address a security risk;
- respond to a third-party platform change;
- prevent corruption or damage; or
- maintain Product conformity.
12.3 License Time During Downtime
Any extension or compensation for downtime is governed by:
- the Product-specific terms;
- the published compensation rules;
- the Refund and Cancellation Policy;
- the Warranty and Product Conformity Policy; and
- mandatory law.
BellTower may provide License extensions as a technical remedy or gesture of goodwill.
12.4 Goodwill Extensions
A voluntary extension:
- does not create an obligation to provide the same extension in another case;
- does not constitute an admission of liability; and
- does not reduce mandatory rights.
13. Permitted Use
You may use the Software only:
- within the scope of the purchased License;
- on the permitted number of devices;
- through your own Account;
- for the intended Product purpose;
- in accordance with the Documentation;
- in accordance with applicable law;
- without infringing third-party rights; and
- without interfering with BellTower systems or other Users.
You are responsible for evaluating whether your intended use is lawful and permitted by any third-party services involved.
14. Prohibited License Conduct
Unless expressly authorised in writing or permitted by mandatory law, you must not:
- share the Software or License;
- sell, resell, rent, lease or lend the Software;
- sublicense the Software;
- transfer the License to another Account or person;
- publish or disclose a License Key;
- use one License for multiple Users;
- operate a paid access, rental or boosting service using the Software;
- make the Software available through a cloud, virtual desktop or remote-access service for third-party use;
- copy the Software beyond what is permitted by this EULA or mandatory law;
- distribute Software files;
- mirror downloads;
- upload Software files to malware-analysis, file-sharing or public scanning services without authorisation;
- remove or bypass License validation;
- circumvent device limits;
- forge or manipulate entitlement data;
- use stolen, refunded or fraudulently obtained License Keys;
- use a License after the related payment has been reversed;
- use the Software after termination; or
- assist another person in any prohibited activity.
15. Reverse Engineering and Technical Restrictions
15.1 General Restriction
Except to the extent expressly permitted by mandatory law, you must not:
- reverse engineer;
- decompile;
- disassemble;
- decode;
- decrypt;
- translate;
- adapt;
- modify;
- patch;
- hook;
- inject into;
- emulate;
- debug;
- trace;
- dump;
- extract;
- reconstruct source code;
- discover algorithms;
- analyse protection mechanisms; or
- create derivative works from the Software.
15.2 Security and Protection Measures
You must not bypass, disable, interfere with or test without authorisation any:
- License protection;
- anti-tamper system;
- integrity check;
- authentication system;
- encryption;
- obfuscation;
- device-binding system;
- access control;
- rate limit;
- watermark;
- logging mechanism;
- security control; or
- anti-abuse measure.
15.3 Mandatory Statutory Exceptions
Nothing in this EULA prohibits an act that mandatory law expressly permits and does not allow the parties to exclude, including certain acts that may be necessary for:
- lawful use of the Software;
- error correction;
- creation of a lawful backup copy;
- observation, study or testing of program functioning; or
- obtaining information required for interoperability.
Any such act must remain strictly within the conditions and limits established by applicable law.
15.4 Interoperability
Where mandatory law permits decompilation for interoperability, the information obtained must not be:
- used for a purpose other than achieving lawful interoperability;
- disclosed to others except where necessary for that lawful purpose;
- used to create or market a substantially similar program;
- used to infringe copyright; or
- used beyond the scope permitted by law.
16. No Unauthorised Security Testing
You must not, without prior written authorisation:
- scan BellTower systems for vulnerabilities;
- perform penetration testing;
- intercept License-system traffic;
- replay authentication requests;
- enumerate Accounts or License Keys;
- attempt credential stuffing;
- circumvent rate limits;
- probe private APIs;
- cause denial of service;
- deploy malware;
- extract databases;
- access server files;
- test payment systems; or
- perform another intrusive security test.
Good-faith security reports should be submitted privately to BellTower.
BellTower may provide separate responsible-disclosure instructions.
17. Unlawful and Harmful Use
You must not use the Software:
- in violation of applicable law;
- to infringe intellectual-property rights;
- to access another person’s account or device without permission;
- to distribute malware;
- to steal credentials or data;
- to interfere with networks or services;
- to commit fraud;
- to facilitate unauthorised surveillance;
- to evade sanctions or export controls;
- to harm another person or their property;
- to impersonate another person;
- to conceal criminal activity; or
- for another unlawful or malicious purpose.
17.1 Third-Party Rules
Use of the Software may involve third-party platforms, applications, games, services, accounts or hardware.
You are responsible for:
- reviewing applicable third-party terms;
- determining whether your intended use is permitted;
- complying with third-party rules;
- maintaining any required third-party account; and
- accepting the consequences of violating third-party rules.
17.2 No Authority Over Third Parties
BellTower does not control:
- third-party account decisions;
- moderation;
- suspensions;
- bans;
- platform updates;
- anti-abuse systems;
- terms of service;
- technical changes; or
- availability of third-party services.
17.3 No Guarantee Against Third-Party Action
BellTower does not guarantee that use of the Software will:
- be permitted by a third party;
- avoid detection by a third party;
- avoid review or investigation;
- prevent an account restriction;
- prevent a suspension or ban;
- remain compatible after third-party changes; or
- produce any particular third-party outcome.
Mandatory rights relating to the accuracy of BellTower’s own Product description remain unaffected.
18. Resale and Commercial Distribution
18.1 No Resale Without Authorisation
You must not resell:
- License Keys;
- Accounts;
- Software access;
- downloads;
- store credit;
- reseller credit;
- hardware-software bundles; or
- other Product entitlements
unless you have entered into an authorised Reseller Agreement with BellTower.
18.2 Authorised Resellers
Authorised resellers remain subject to:
- this EULA;
- the Reseller Agreement;
- Product-specific resale restrictions;
- branding rules;
- pricing and credit rules;
- support-allocation rules; and
- applicable consumer and commercial law.
18.3 End-User Acceptance
A reseller must ensure that each end user is presented with and accepts the applicable EULA before activation or use.
18.4 No Transfer After Activation
Unless expressly authorised, an activated License may not be resold or transferred.
19. Software Integrity and Diagnostics
19.1 Integrity Checks
The Software may verify:
- file integrity;
- Software version;
- digital signatures;
- configuration consistency;
- License status;
- presence of unauthorised modifications;
- debugging or tampering indicators;
- supported system conditions; and
- security-related information.
19.2 Diagnostic Information
Where necessary to provide the Product, support it, protect it or investigate misuse, BellTower may process technical information such as:
- Software version;
- operating-system version;
- hardware category;
- driver and firmware information;
- error codes;
- crash data;
- License identifier;
- HWID-derived information;
- authentication events;
- IP address;
- date and time;
- security events; and
- Product-status information.
The Privacy Policy explains the purposes, legal bases, recipients and retention rules for personal data.
19.3 No Unrelated Access
BellTower does not obtain a contractual right under this EULA to access unrelated personal files merely because the Software is installed.
Remote access requires a separate support interaction and the User’s authorisation, except where another lawful basis applies.
20. Support
20.1 Support Scope
Support may include:
- installation guidance;
- activation assistance;
- License reset assistance;
- compatibility troubleshooting;
- error diagnosis;
- update guidance;
- Product-status information; and
- Remote Setup Services where offered.
20.2 Reasonable Cooperation
You must provide reasonable cooperation, which may include:
- describing the issue accurately;
- providing the order number;
- providing relevant error messages;
- confirming system specifications;
- installing required updates;
- following troubleshooting instructions;
- providing logs where appropriate; or
- participating in a remote-support session where voluntarily agreed.
20.3 Unsupported Matters
BellTower is not required to provide support for:
- unsupported systems;
- pirated Software;
- modified Software;
- shared or resold Licenses;
- third-party Products not supplied by BellTower;
- unrelated system problems;
- Customer-created code;
- unauthorised integrations;
- obsolete Product versions where an update is required; or
- issues caused solely by prohibited conduct.
20.4 Support Conduct
You must communicate with support personnel in a reasonable and lawful manner.
Threats, harassment, abuse, impersonation, spam or deliberate obstruction may result in communication restrictions or Account action.
Mandatory Product remedies remain unaffected.
21. Remote Setup Services
21.1 Separate Service
A Remote Setup Service may be included with a Product, offered voluntarily or sold separately.
21.2 User Authorisation
Before a remote session, you must:
- authorise the connection;
- remain present where reasonably required;
- close unrelated applications;
- remove confidential information from view;
- make appropriate backups; and
- follow reasonable security instructions.
21.3 Scope of Access
Remote access should be limited to what is reasonably necessary for the requested support.
21.4 User Control
You may terminate the remote connection at any time, although doing so may prevent completion of the requested service.
21.5 Remote Support Records
BellTower may document:
- the date and duration of the session;
- the Product involved;
- the issue reported;
- steps performed;
- the outcome; and
- relevant technical information.
Sessions are not recorded without appropriate notice and a valid legal basis.
22. Third-Party Components
22.1 Included Components
The Software may include:
- open-source software;
- third-party libraries;
- drivers;
- runtime components;
- codecs;
- APIs;
- fonts;
- frameworks; or
- other third-party materials.
22.2 Third-Party Licenses
Third-party components may be governed by separate license terms.
Where a third-party license grants rights that conflict with a restriction in this EULA, the third-party license governs that component to the extent required.
22.3 Open-Source Notices
Applicable open-source notices may be included:
- in the Software;
- in Documentation;
- in an acknowledgements file;
- on the Platform; or
- upon request where legally required.
22.4 No Expansion of Rights
A third-party license does not grant rights to BellTower-owned Software beyond the scope expressly provided by that third-party license.
23. Intellectual-Property Complaints
If you believe that Software or Documentation infringes your intellectual-property rights, contact BellTower with:
- your identity and contact information;
- identification of the protected work or right;
- identification of the allegedly infringing material;
- an explanation of the claim;
- evidence of ownership or authority; and
- a statement that the information supplied is accurate.
BellTower may:
- request further information;
- temporarily restrict affected material;
- investigate the claim;
- contact relevant licensors;
- modify or replace the affected component; or
- take another appropriate action.
24. Feedback
You may voluntarily provide:
- suggestions;
- feature requests;
- bug reports;
- ideas;
- testing results;
- performance information; or
- other feedback.
Unless otherwise agreed, you grant BellTower a worldwide, perpetual, irrevocable, non-exclusive, transferable and royalty-free right to use, reproduce, adapt and incorporate that feedback into Products and services.
This does not transfer ownership of your unrelated pre-existing intellectual property or personal data.
25. Beta, Testing and Early-Access Software
25.1 Identification
Software may be identified as:
- beta;
- alpha;
- test;
- preview;
- experimental;
- early access; or
- pre-release.
25.2 Expected Limitations
Testing Software may:
- contain defects;
- be incomplete;
- change substantially;
- have limited compatibility;
- experience interruption;
- lose stored configuration;
- require frequent updates; or
- be discontinued before final release.
25.3 Consumer Rights
A beta or testing label does not remove mandatory rights relating to characteristics expressly promised as part of a paid Consumer contract.
However, limitations clearly disclosed and specifically accepted before purchase form part of the conformity assessment to the extent permitted by law.
25.4 Confidential Testing
Where testing access is expressly marked confidential, you must not disclose:
- Software files;
- private Documentation;
- unreleased features;
- screenshots;
- videos;
- test results;
- access credentials; or
- other confidential test information
without written authorisation.
26. Suspension
26.1 Grounds for Suspension
BellTower may temporarily suspend an Account, License or Software access where reasonably necessary to:
- investigate suspected License sharing;
- investigate fraud;
- respond to a payment reversal;
- protect the Software or Platform;
- address a security incident;
- prevent unlawful use;
- enforce this EULA;
- comply with law or an authority request;
- perform urgent maintenance; or
- prevent harm to BellTower, Users or third parties.
26.2 Proportionate Measures
Where reasonably possible and appropriate, BellTower may use a temporary restriction while investigating rather than immediately terminating the License.
26.3 Notice
BellTower may inform you of:
- the suspension;
- the general reason;
- required verification;
- steps for review; and
- the outcome.
Notice may be limited where disclosure would:
- compromise security;
- enable evasion;
- interfere with an investigation;
- violate law;
- disclose confidential information; or
- harm another person’s rights.
26.4 Restoration
Access may be restored where:
- the concern is resolved;
- required verification is completed;
- payment is confirmed;
- a compromised credential is secured;
- the issue was caused by error; or
- restoration is otherwise appropriate.
27. Termination
27.1 Termination by the User
You may stop using the Software at any time.
Stopping use does not automatically create a refund entitlement.
27.2 Termination by BellTower
BellTower may terminate the License for a material breach, including:
- License sharing;
- unauthorised resale;
- distribution of Software files;
- circumvention of License controls;
- reverse engineering outside mandatory legal exceptions;
- security attacks;
- fraud;
- use of stolen payment information;
- malicious chargeback abuse;
- unauthorised modification;
- unlawful use;
- infringement of intellectual-property rights;
- repeated serious abuse of support personnel; or
- another serious violation of this EULA.
27.3 Opportunity to Remedy
Where the breach is capable of remedy and immediate termination is not reasonably necessary, BellTower may provide an opportunity to correct it.
Immediate termination may occur where:
- the breach is serious;
- security is threatened;
- fraud is involved;
- the Software has been distributed;
- License protections were deliberately bypassed;
- continued access would cause material harm; or
- law requires immediate action.
27.4 Effect of Termination
Upon termination:
- your License ends;
- you must stop using the Software;
- you must delete Software copies under your control;
- the License Key may be disabled;
- Account access may be restricted;
- updates and support may end; and
- other associated entitlements may be withdrawn.
27.5 No Refund for Material Breach
Except where mandatory law requires otherwise, termination caused by your material breach does not create a refund or credit entitlement.
27.6 Surviving Terms
Terms concerning:
- ownership;
- intellectual property;
- confidentiality;
- restrictions;
- liability;
- indemnity where applicable;
- evidence and enforcement;
- governing law; and
- other terms intended by their nature to survive
remain effective after termination.
28. Refunds, Withdrawal and License Revocation
28.1 Refund Policy
Refund and withdrawal rights are governed by the Refund and Cancellation Policy and mandatory law.
28.2 Immediate Digital Delivery
A Consumer may be asked during checkout to:
- consent to immediate performance;
- request delivery before the withdrawal period expires; and
- acknowledge the resulting loss of the withdrawal right where the legal requirements are satisfied.
28.3 Refund Effect
Where a refund, withdrawal, cancellation or payment reversal applies:
- the License may be revoked;
- the License Key may be disabled;
- Software access may be removed;
- downloads may be withdrawn;
- you must stop using the Software; and
- you must delete retained copies where required.
28.4 Duplicate Benefit
You are not entitled to retain both:
- the refunded purchase price; and
- continued access to the corresponding Software License.
29. Product Conformity and Defects
29.1 Mandatory Rights
Consumers may have mandatory rights where the Software:
- is not supplied;
- does not match its agreed description;
- lacks agreed functionality;
- does not work in an expressly supported environment;
- contains a material defect;
- does not receive required updates;
- cannot be activated due to a Product-side fault; or
- otherwise does not conform to the contract.
29.2 Initial Remedies
An appropriate remedy may include:
- delivery or re-delivery;
- License reactivation;
- replacement files;
- an update;
- technical correction;
- Account correction;
- restoration of access; or
- another method of bringing the Software into conformity.
29.3 Further Remedies
A price reduction or contract termination may be available where the legal requirements are satisfied.
29.4 Separate Policy
Further information is provided in the Warranty and Product Conformity Policy.
30. Disclaimer of Additional Warranties
To the maximum extent permitted by law and subject to all express contractual commitments, the Software is provided without additional implied or voluntary warranties concerning:
- uninterrupted availability;
- compatibility with every device;
- compatibility with every future operating system;
- compatibility with every third-party platform;
- absence of all minor defects;
- achievement of a particular result;
- continued availability of third-party services;
- permanent continuation of every feature;
- suitability for an undisclosed purpose; or
- protection against third-party account action.
This Section does not exclude:
- express Product promises;
- mandatory conformity rights;
- mandatory update obligations;
- fraud or misrepresentation claims;
- commercial warranties expressly provided; or
- other rights that cannot lawfully be excluded.
31. Limitation of Liability
31.1 Unlimited Liability
Nothing in this EULA limits liability where limitation is prohibited by law, including liability for:
- intentional misconduct;
- gross negligence;
- death or personal injury caused by negligence;
- fraudulent concealment of a defect;
- an expressly assumed guarantee;
- mandatory product liability;
- mandatory data-protection liability; or
- another liability that cannot lawfully be excluded.
31.2 Essential Contractual Duties
For ordinary negligence involving breach of an essential contractual duty, liability is limited, where legally permitted, to the damage that was typical and reasonably foreseeable when the contract was concluded.
An essential contractual duty is a duty whose performance makes proper execution of the contract possible and on which the Customer may regularly rely.
31.3 Other Ordinary Negligence
Liability for ordinary negligence is excluded to the extent permitted by law where no essential contractual duty, personal injury or other mandatory basis of liability is involved.
31.4 Third-Party Conduct
BellTower is not responsible for decisions or actions independently taken by:
- third-party platforms;
- account providers;
- game publishers;
- software vendors;
- internet providers;
- hardware manufacturers;
- payment providers;
- government authorities; or
- other independent third parties.
This does not exclude liability where BellTower made an inaccurate contractual representation concerning its own Product.
31.5 Customer Data
You are responsible for maintaining reasonable backups.
Liability for recoverable data loss may be limited to the reasonable cost of restoring data from an appropriate current backup, where permitted by law.
31.6 Business Customers
Additional or different limitations may apply to Business Customers under the Terms of Service, a Reseller Agreement or another commercial contract.
32. Indemnity for Business Customers
Where you are a Business Customer, you agree, to the extent permitted by law, to indemnify BellTower against third-party claims, reasonable costs and damages arising from:
- your unlawful use of the Software;
- your unauthorised resale or distribution;
- your infringement of third-party rights;
- your material breach of this EULA;
- your misrepresentation to end customers;
- your unauthorised modification of the Software; or
- conduct by persons to whom you improperly supplied access.
This Section does not require indemnification for loss caused by BellTower or for claims to the extent BellTower is legally responsible.
This Section does not apply to Consumers.
33. Confidential Information
33.1 Confidential Materials
Confidential information may include:
- non-public Software;
- source code;
- private APIs;
- security methods;
- License-system information;
- unreleased features;
- private testing materials;
- internal Documentation;
- reseller information;
- support credentials; and
- information reasonably identified as confidential.
33.2 Protection
You must not use or disclose confidential information except as necessary for authorised use of the Product.
33.3 Exclusions
Information is not confidential to the extent that you can establish it:
- was lawfully public without breach;
- was already lawfully known to you;
- was independently developed without using confidential information;
- was lawfully received from a third party; or
- must be disclosed by law or binding authority order.
33.4 Required Disclosure
Where legally permitted, you should provide reasonable advance notice of a required disclosure.
34. Export Controls and Sanctions
You must not access, export, re-export, transfer or use the Software:
- in violation of applicable sanctions;
- in a prohibited jurisdiction;
- for a prohibited end use;
- for a prohibited end user;
- in violation of export-control law; or
- in a manner requiring an authorisation that has not been obtained.
BellTower may restrict access where reasonably necessary to comply with:
- sanctions;
- export controls;
- trade restrictions;
- government orders; or
- payment-provider compliance requirements.
35. Changes to This EULA
35.1 Future Purchases
BellTower may update this EULA for future purchases to reflect:
- new Products;
- changes to licensing systems;
- new security requirements;
- changes in applicable law;
- changes to support procedures;
- changes to third-party dependencies; or
- clarifications and improvements.
35.2 Existing Contracts
The version accepted when the License was acquired generally continues to govern that License unless:
- the parties validly agree to an amendment;
- the contract contains a valid modification mechanism;
- a change is required by law;
- the change is necessary to maintain security or conformity and is permitted by law; or
- mandatory law otherwise provides.
35.3 Material Changes to Continuous Digital Supply
For continuously supplied Digital Products, material modifications remain subject to mandatory requirements concerning:
- a valid contractual reason;
- no additional cost where required;
- clear information;
- advance notice on a durable medium where required; and
- a right to terminate where a modification negatively affects access or use beyond a minor extent.
35.4 Continued Use
Continued use will constitute acceptance of an updated EULA only where this is legally valid and you were properly informed.
36. Governing Law
36.1 General Rule
This EULA is governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods, to the extent legally permitted.
36.2 Consumers
For Consumers, this choice of law does not deprive you of mandatory protections provided by the law of the country in which you habitually reside where those protections apply regardless of the chosen law.
36.3 Business Customers
For Business Customers, the exclusive place of jurisdiction may be BellTower’s place of business where:
- the Customer is a merchant;
- the Customer is a legal entity under public law;
- the Customer is a special fund under public law;
- the Customer has no general place of jurisdiction in Germany; or
- an exclusive jurisdiction agreement is otherwise legally permitted.
36.4 Consumer Jurisdiction
Consumer jurisdiction is governed by mandatory procedural law.
37. Assignment
37.1 Assignment by the User
You may not transfer or assign the License or this EULA without BellTower’s prior written consent, except where mandatory law provides otherwise.
37.2 Assignment by BellTower
BellTower may transfer its rights and obligations to:
- a legal successor;
- an affiliated business;
- an acquirer of the relevant Product or business;
- a restructuring entity; or
- another suitable provider,
provided that the transfer does not unlawfully reduce mandatory Consumer rights.
37.3 Notice
Where required, affected Users will be informed of a transfer.
38. Severability
If any provision of this EULA is found to be invalid, unlawful or unenforceable:
- the remaining provisions remain effective;
- the invalid provision applies only to the minimum extent necessary;
- mandatory law replaces it where applicable; and
- the commercial purpose of the agreement should be preserved as far as legally possible.
For Consumers, this Section does not permit replacement of an invalid standard term with a more burdensome term than mandatory law allows.
39. No Waiver
A failure or delay by BellTower to enforce a provision does not waive:
- that provision;
- a later breach;
- another contractual right; or
- the right to enforce the provision later.
A waiver is effective only where clearly given by an authorised person.
40. Entire Agreement
This EULA, together with the incorporated documents and Product-specific terms, constitutes the agreement concerning the licensed use of the Software.
In the event of inconsistency:
- mandatory law prevails;
- an individually negotiated written agreement prevails over standard terms;
- Product-specific License terms prevail concerning the relevant Product;
- this EULA prevails concerning Software-use and License restrictions;
- the Terms of Service govern general Platform and commercial matters; and
- the remaining policies govern their respective subject matter.
The Refund and Cancellation Policy governs refund and withdrawal procedures.
The Warranty and Product Conformity Policy governs defects and conformity remedies.
The Privacy Policy governs personal-data processing.
41. Electronic Communications
Notices relating to this EULA may be delivered through:
- email;
- the Customer Account;
- the License interface;
- the Platform;
- a support ticket;
- an in-Software notice; or
- another appropriate electronic method.
You are responsible for maintaining access to the email address associated with the Account.
Where mandatory law requires information on a durable medium, it will be supplied in a form that satisfies that requirement.
